Step 1: Understand Your Obligations

Under South Carolina law, all business entities must have a registered agent to:

  • Receive legal documents (e.g., lawsuits, subpoenas).
  • Receive state notices, including annual report reminders.

Without a registered agent, your business risks administrative dissolution or penalties.

Step 2: Select a New Registered Agent

When choosing a registered agent, ensure they meet these requirements:

  • Eligibility: Must be an individual or entity with a physical address in South Carolina.
  • Availability: Must be available during regular business hours to receive service during the process.

Options to Consider:

  • A professional registered agent service.
  • An attorney or accountant familiar with your business.
  • You or another individual at your business location (if compliant with state law).

New Registered Agent Sign up $39.99 Annually

Step 3: Notify the South Carolina Secretary of State

Once you have selected a new registered agent:

  1. File the Notice of Change of Registered Agent with the South Carolina Secretary of State.
    • Download the form section of the page
    • File online or by mail.
    • Pay the required filing fee (currently $10 as of December 1, 2024.)

Step 4: Update Your Business Records

 After filing your new registered agent:

  • Update your Articles of Incorporation or Organization (if applicable).
  • Notify relevant stakeholders (e.g., banks, vendors, insurers).

Step 5: Clear Outstanding Payments

Clients with unpaid balances must settle payments to avoid collection actions.
